Terms of Service for BuiltChat

These Terms of Service (the “Terms”) govern your access to and use of BuiltChat’s websites, applications, AI features, and related services (collectively, the “Service”). BuiltChat is part of the BuiltSearch ecosystem. In these Terms, “BuiltChat”, “we”, “us”, and “our” refer to the provider of the Service, and “you” refers to the person or entity using the Service.

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be legally capable of entering into a binding agreement to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent and supervision of a parent or legal guardian. You may not use the Service if applicable law prohibits you from doing so.

Your account

When you sign up for BuiltChat, you create a BuiltSearch account that may be used across BuiltSearch services. You must provide accurate information, keep it current, safeguard your login credentials, and promptly notify us at support@builtsearch.com if you suspect unauthorised access. You are responsible for activity performed through your account unless caused by our failure to use reasonable care.

Accounts are personal unless we expressly provide a team or organisation feature. You must not sell, transfer, share, or make your account available to another person. You are responsible for ensuring that people you invite to a shared project have appropriate permission to access the material in that project.

The Service

BuiltChat provides access to AI-assisted chat, image generation and editing, file and spreadsheet analysis, web search, Singapore regulatory search, projects, sharing and collaboration, and other related tools. Some features rely on third-party AI models, search providers, hosting providers, and other services.

Features, model availability, usage allowances, and limits may change as the Service develops or as our third-party providers change their services. We may introduce, modify, suspend, or discontinue a feature. Where a change materially reduces a paid Service, we will use reasonable efforts to provide notice when practicable.

AI-generated content

The Service uses artificial intelligence. AI-generated responses and images (“Output”) may be inaccurate, incomplete, misleading, offensive, or unsuitable for your purpose. Similar or identical Output may be generated for other users. The Service does not replace professional judgement, and Output is not legal, financial, medical, engineering, architectural, regulatory, or other professional advice.

You must independently review and verify Output before relying on, publishing, or acting on it. This is especially important for building codes, regulations, standards, safety matters, calculations, and other high-impact decisions. You remain responsible for your decisions, your use of Output, and ensuring that your use complies with applicable law, professional duties, and third-party rights.

Your content

“Your Content” means prompts, files, images, instructions, project materials, and other information that you or your authorised users submit to the Service. As between you and us, you retain your rights in Your Content. You represent that you have all rights and permissions needed to submit Your Content and permit its processing under these Terms.

You grant us a worldwide, non-exclusive, limited licence to host, copy, process, transmit, display, and otherwise use Your Content solely as necessary to provide, operate, secure, maintain, and support the Service, comply with applicable law, and enforce these Terms. This includes sending Your Content to the AI model or other service provider required to perform the feature you request, such as sending a prompt to an AI provider so it can generate a response. This licence lasts only for as long as necessary for those purposes, subject to reasonable backup periods, legal retention requirements, and the choices described in our Privacy Policy. Please read the Privacy Policy for details about how we and our service providers handle, retain, and delete personal data and Your Content.

We do not sell Your Content or disclose it to third parties for advertising, data brokerage, unrelated model training, or any other purpose unrelated to providing and protecting the Service. We do not use Your Content to train our own AI models. We disclose Your Content only to service providers needed to fulfil your request, operate or secure the Service, or where disclosure is required by law. When you choose an AI model or tool, its provider may retain or use submitted information according to its applicable terms and data controls, including for model improvement where those terms permit it.

To the extent permitted by applicable law and subject to any rights of third parties, you may use Output generated for you for lawful purposes. We do not promise that Output is unique, accurate, or eligible for intellectual property protection. You are responsible for reviewing Output for possible infringement before using it.

Acceptable use

You must not use the Service to:

• break any law, regulation, court order, or legally binding obligation;
• infringe, misappropriate, or violate another person’s intellectual property, privacy, publicity, or other rights;
• create, upload, or distribute unlawful, fraudulent, defamatory, abusive, exploitative, or harmful material;
• facilitate malware, phishing, credential theft, unauthorised access, or disruption of systems or networks;
• exploit, endanger, or sexualise minors, or generate non-consensual intimate content;
• impersonate another person, misrepresent the origin of content, or deceive others in a harmful or unlawful way;
• make automated or excessive requests that circumvent limits or materially impair the Service for others;
• reverse engineer, scrape, probe, or attempt to extract models, source code, system prompts, or non-public data, except where the law expressly permits it; or
• resell or provide the Service to third parties unless we have agreed to this in writing.

You must comply with any reasonable technical restrictions, safety measures, and third-party provider policies made available through the Service. We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect users, third parties, or the Service.

Plans, subscriptions, and payment

BuiltChat may offer free and paid plans. Current prices, plan features, and usage allowances are shown on our Pricing page or at checkout. Usage allowances are not a guarantee of a fixed number of requests: consumption may vary based on the model, context length, file size, image settings, and tools used. Unused allowances do not roll over unless we expressly say otherwise.

Self-service paid subscriptions purchased through the Platform are billed monthly and renew automatically until cancelled. By subscribing, you authorise us and our payment processor to charge the applicable fees and taxes to your selected payment method. You must keep your billing information accurate. If payment fails, we may retry the charge or restrict paid features until payment is received.

You may cancel a self-service subscription at any time through the Platform. Cancellation takes effect at the end of the current paid billing period, and you will retain paid access until then. Fees already paid are non-refundable and we do not provide credits for partial billing periods, except where required by law or where we expressly agree otherwise.

We may also provide paid access through a separately negotiated business transaction. The access period, fees, payment schedule, user allocation, cancellation rights, and other commercial terms for that access are determined by the applicable quotation, order form, contract, or other agreement. If that agreement conflicts with these Terms, the agreement will govern to the extent of the conflict.

We may change subscription prices. A price change will apply no earlier than your next renewal after we give reasonable advance notice. If you do not agree to the new price, you may cancel before that renewal.

Third-party services

The Service may use or link to third-party services, including AI model providers, search engines, websites, payment processors, authentication services, and storage providers. When necessary to provide a feature you request, relevant parts of Your Content may be transmitted to the provider that performs that feature. A provider’s handling, retention, and use of that information, including whether it may be used for model training, is determined by that provider’s applicable terms, privacy policy, and data controls. We do not control those practices and encourage you to review the applicable provider policies before submitting sensitive information. We do not disclose Your Content to unrelated third parties.

Your use of third-party services may be subject to their own terms and policies. We do not control and are not responsible for third-party content, availability, or conduct. Model responses, web results, citations, and links do not constitute our endorsement.

Our intellectual property

We and our licensors own the Service, including its software, interfaces, branding, documentation, and other content we provide, excluding Your Content and third-party material. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. No other rights are granted.

If you send us feedback, you grant us a perpetual, worldwide, royalty-free licence to use it without restriction or compensation, provided we do not identify you publicly without permission.

Privacy and security

Our Privacy Policy explains how we collect, use, disclose, and protect personal data. You should not submit personal data, confidential information, or regulated information unless you have authority to do so and the Service is appropriate for that information. No online service is completely secure, so you should keep independent backups of important material and avoid using the Service as your only storage system.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially or repeatedly breach these Terms, fail to pay fees when due, create risk or legal exposure for us or others, or if required by law. Where reasonable, we will give notice and an opportunity to remedy the issue before suspension or termination, but we may act immediately in urgent cases involving security, harm, fraud, or legal requirements.

On termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including provisions on ownership, payment obligations, disclaimers, liability, and dispute resolution.

Service availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability, particular response times, model performance, or error-free operation. Outages or degraded performance may result from maintenance, updates, internet conditions, third-party providers, or events outside our reasonable control.

We may perform scheduled or emergency maintenance. We will use reasonable efforts to give advance notice of planned maintenance that is likely to cause material disruption, where practicable.

Support

During an active paid subscription period, we will use commercially reasonable efforts to provide basic customer support by email during normal business hours. The table below outlines our target response time guidelines. These are targets and not service-level guarantees unless we agree otherwise in writing.

• Platform means the entire BuiltChat service, including our authentication server.
• Core Services means the chat and image generation features.

Support is available Monday to Friday, 9:00 AM to 6:00 PM Singapore Time (GMT+8), excluding Singapore public holidays. Submit support inquiries by emailing support@builtsearch.com.

Escalation procedure

If your issue has not been resolved within the target response time, you may escalate it by replying to your original support email, stating that the issue remains unresolved, and requesting further assistance. We will prioritise the escalated issue and provide updates on its status. We may ask you for additional details or clarification to help us resolve it.

Disclaimers

To the maximum extent permitted by law, the Service and all Output are provided “as is” and “as available”. We disclaim all express, implied, and statutory warranties, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, title, non-infringement, and that the Service will be secure, uninterrupted, or error-free. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, we and our affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business, goodwill, data, or opportunities, arising from or related to the Service, even if advised that such loss was possible.

To the maximum extent permitted by law, our total aggregate liability arising from or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service during the 12 months immediately before the event giving rise to the claim, or (b) SGD 100. These limitations apply regardless of the form of action and do not limit liability that cannot lawfully be limited, including liability for fraud or wilful misconduct.

Indemnity

If you use the Service on behalf of a business or organisation, that entity will defend, indemnify, and hold harmless us and our affiliates, officers, employees, and contractors from third-party claims, losses, and reasonable costs arising from Your Content, your unlawful use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by our breach, negligence, or wilful misconduct.

Changes to these Terms

We may update these Terms to reflect changes to the Service, law, safety practices, or our business. We will post the updated Terms and revise the “Last updated” date. If a change materially affects your rights, we will use reasonable efforts to provide additional notice. Changes take effect on the date stated in the notice. Your continued use after that date means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. You and we submit to the exclusive jurisdiction of the courts of Singapore to resolve disputes arising from or related to these Terms or the Service. Before commencing formal proceedings, each party agrees to make a good-faith effort to resolve the dispute by contacting the other party, unless urgent relief is required.

General terms

These Terms and the policies referenced in them are the entire agreement between you and us concerning the Service. If any provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, corporate reorganisation, or transfer of the Service. No person other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
